Loeb Represents Rosemont College in Merger with Villanova University

Loeb & Loeb represented Rosemont College, a Catholic liberal arts institution located in the heart of Pennsylvania’s Main Line, in its definitive agreement to merge with Villanova University, marking a significant change in Philadelphia’s higher education landscape. Under the multi-year transition plan, Rosemont College will continue to operate independently until 2028, after which it will become Villanova University’s Rosemont Campus.

As part of the transition, Rosemont will cease enrolling new students beginning in October 2024. Current students will be able to complete their degrees under existing programs. Additionally, tenured Rosemont faculty members will be offered positions at Villanova, ensuring continuity for educators and students alike.

Villanova will provide financial support to sustain Rosemont during the transition period, reinforcing its commitment to preserving the institution’s legacy. By integrating Rosemont into its academic framework, Villanova aims to expand its offerings while maintaining the history and values that define Rosemont College.

"This merger marks a significant new chapter for Rosemont College—one that honors our legacy while securing a vibrant future for our students, faculty and community,” said Maria Feeley, chair of the Board of Trustees at Rosemont College. “Navigating a transaction of this complexity required deep knowledge of a changing higher education landscape and creativity with an anticipation of future scenarios, and the Loeb team delivered both. Their counsel was not only strategic and thorough but also very aligned with our mission, and we couldn’t have asked for better partners to guide us through this pivotal transition."

The Loeb team was led by Corporate partner Neil Lefkowitz and included Corporate associate Kate McGuigan and senior paralegal Hope Wankel; Real Estate partner Jason Kim; Employment & Labor associate Lauren Richards; and Private Client partners Todd Steinberg and Meghan Biss
