NEW YORK - Loeb & Loeb LLP announced today that prominent, corporate attorney Angela M. Santoro Dowd will join the firm as partner in the Corporate Department. Ms. Dowd joins the firm from Golenbock Eiseman Assor Bell & Peskoe LLP.
Ms. Dowd joins our Loeb & Loeb's New York office where she represents clients in domestic and international corporate and securities transactions. She has participated in public offerings and private placements of a variety of debt and equity securities, Rule 144A high yield debt financings, IPOs, offerings involving the issuance of preferred equity, financings involving the use of convertible debt securities, issuance of Industrial Revenue Bonds, and offerings by foreign private issuers involving the use of American Depository Receipts. She received her J.D. from New York University and her B.A from Yale.
In addition, Ms. Dowd has experience in negotiating public and private mergers, acquisitions and dispositions, hostile takeovers and takeover defenses, and going private transactions. She has represented clients in the formation, financing, restructuring and dissolution of a variety of partnership, joint venture, limited liability company and corporate entities. She has also represented borrowers and lenders in connection with both secured and unsecured bank and other credit financings, including debtor-in-possession financings and exit financings.
