Overview

Ana Maganto Ramirez concentrates her practice on a broad range of U.S. and non-U.S. tax planning matters. Ana has experience assisting  tax-exempt entities, such as private foundations and public charities, in maintaining their tax-exempt status, including drafting formation documents and conducting in-depth research to ensure ongoing compliances. She has also provided guidance to both international and U.S. based investors, including tax-exempt investors, on the intricacies of international and U.S. private equity, hedge and venture capital funds. This includes drafting side letters and reviewing subscription documents, limited partnership agreements and private placement memorandums.


In addition, Ana is well-versed in assisting clients design tax structures and drafting tax provisions in transaction documents for both domestic and international stock and asset purchases, sales agreements, and merger agreements.
