Noah Weingarten provides practical and sophisticated advice on complex bankruptcy and restructuring matters, bankruptcy litigation, and general commercial litigation.
Noah has extensive experience representing debtors, lenders, secured and unsecured creditors, landlords, equity holders, trade creditors, distressed investors and other stakeholders on all aspects of Chapter 11 bankruptcy proceedings, as well as Chapter 7 and 15 proceedings, out-of-court restructurings, commercial insolvencies and liquidations, and assignments for the benefit of creditors.
Noah is a go-to person for bankruptcy litigation, having served as a first chair in a bench trial and presented oral argument to the U.S. Court of Appeals for the Second Circuit. Noah has a wealth of experience prosecuting and defending high-stakes fraudulent transfer and bankruptcy preference actions as well as numerous other adversary proceedings and contested matters. Noah has successfully secured the dismissal of numerous bankruptcy preference actions worth several millions of dollars, including several matters for a zero dollar walk away.
Clients also consistently turn to Noah for counsel on creditors’ rights litigation, representing creditors in state and federal courts throughout the country. His litigation background includes defending lender liability claims, actions under the Uniform Commercial Code, prosecuting recovery and collection actions, including breach of guaranty, usury and fraud claims.
Noah also has significant transactional experience, negotiating debtor-in-possession financing, cash collateral claims, and other matters related to first- and second-day motions.
Apart from his focus on bankruptcy and restructuring, Noah has experience litigating entertainment and intellectual property matters, representing music publishers and record labels in complex breach of contract, copyright infringement, and right of publicity and defamation disputes.
Noah is a thought leader on bankruptcy law developments, publishing numerous articles in publications such as the New York Law Journal, Reuters, Westlaw Today and Law360.
Noah also maintains an active pro bono practice. He is a member of the Legal Aid Society’s New Leadership Program Board. Noah was honored as one of Loeb’s “Top Pro Bono Contributors” in 2023 and received the “Award for Excellence in Pro Bono Service” from the U.S. District Court of the Northern District of Illinois for successfully defending an individual debtor who had been sued in her bankruptcy case by a creditor seeking to except a large debt from her bankruptcy discharge.
Selected Bankruptcy Debtor and Estate Engagements:
- Counsel for Sarar USA, a retailer of high-end men’s apparel, in a chapter 11 proceeding designed to right-size its 17-store brick and mortar footprint. Successfully negotiated and obtained confirmation of consensual chapter 11 plan, which enabled the company to emerge from bankruptcy with a leaner footprint and a stronger balance sheet.
- Counsel for Absolut Facilities Management, the operator of a chain of skilled nursing and assisted living facilities in New York State, as debtors in their chapter 11 cases. Successfully advised the company through complex disputes involving the company’s multiple layers of secured indebtedness and landlords, to consummate a successful sale of the company’s assets as a going concern, saving the jobs of the company’s approximately 1,000 employees.
Selected Bankruptcy Creditor Side Engagements:
- Represented largest unsecured creditor in J. Crew’s chapter 11 cases. Contested confirmation of J. Crew’s chapter 11 plan.
- Represent Big Four accounting firm and other professional services firms in in connection with the bankruptcy cases of OneWeb Global Limited.
Bankruptcy Avoidance Litigation Engagements:
- Counsel for QuadraMed Corporation, a creator of premium electronic health records software (EHR), in Verity Health System of California, Inc.’s Chapter 11 cases. Prosecuted $12 million administrative expense claim based on debtors’ post-petition copyright infringement arising from unauthorized assignment and use of EHR software. Defended $1.3 million preference claim, including asserting sophisticated “ordinary course,” “subsequent new value,” “contemporaneous exchange,” and “mere conduit” defenses. Obtained favorable settlement in complex mediation of preference claim and administrative expense claim. Successfully negotiated setoff of administrative expense claim (where administrative expense claims were to be paid only 15%).
- Counsel for Picis Clinical Solutions, Inc. a creator of premium electronic health records software (EHR), in Verity Health System of California, Inc.’s Chapter 11 cases. Obtained complete pre-answer dismissal of preference claim through detailed and highly technical “ordinary course” and “subsequent new value” analyses.
- Counsel for ACCEO Solutions, Inc., a creator of middleware payment technology and software, in J & M Sales, Inc. and National Stores’ bankruptcy case that was converted to Chapter 7. Successfully negotiated favorable pre-answer settlement of preference claim. Attended mediation and obtained significant reduction of claim based on assumption of contract, “ordinary course,” “subsequent new value,” “contemporaneous exchange,” and “mere conduit” defenses.
- Represented unsecured party in the Dean Foods bankruptcy.
