概述
Shahrooz Shahnavaz represent clients in all aspects of tax law, focusing particularly on federal and state issues related to domestic and cross border mergers and acquisitions, business formations, divestitures, joint ventures, real estate and partnership transactions, and general federal and state income tax planning.
Shahrooz maintains a diverse roster of clients, including strategic and other corporate buyers and sellers, private equity firms and family offices across an array of industries including biotechnology, manufacturing, IT, retail, media, entertainment and real estate.
Working closely with the firm’s corporate M&A team, Shahrooz is able to assist clients in all aspects of transactions, from the pre-LOI negotiation stage to post-closing integration and domestic and international tax structuring. He regularly negotiates with opposing counsel on relevant tax matters, and has extensive experience drafting various agreements, including merger, stock purchase, asset purchase, membership interest purchase agreements, as well as partnership and LLC operating agreements and tax technical memoranda.
Outside of his practice, Shahrooz enjoys travel, film and theatre, wine tasting and participating in sports such as tennis and skiing. Shahrooz is an adjunct professor at Loyola University Law School, where he teaches a course in corporate tax. He is also a member of the Executive Committee of the prestigious USC Gould School of Law Tax Institute.
