A special purpose acquisition company—or SPAC—is a shell company that lists on the stock market for the sole purpose of raising money to buy a private company that wants to go public. A SPAC acquisition provides the target company with access to the public markets much more quickly than a traditional initial public offering does, with less volatility in pricing.
SPACs have been around for decades. But pandemic-fueled market uncertainties have made them the hottest new trend on Wall Street.
Lately, it seems like everyone is jumping on the bandwagon. But Loeb & Loeb has been a leader in the SPAC deal space since the very beginning.
Loeb & Loeb’s lawyers have handled hundreds of SPAC offerings and business combinations, including numerous first-of-their-kind transactions that have contributed to the evolution of SPACs. We’ve guided clients through every generation of the SPAC product, and our team is directly responsible for many of its innovative structural features.
Few firms know SPACs better—or have the deal experience that we do.
And as SPACs gained renewed and explosive interest over the past few years—from sponsors, investors and potential target companies—nobody was better equipped than Loeb & Loeb to help market participants of all types seize the opportunities of this IPO alternative.
We’ve helped clients in the U.S. and abroad structure and execute SPAC deals ranging in size from tens of millions to hundreds of millions and into the billions of dollars.
