Overview

Mike Grossman is an experienced deal maker and trusted advisor to clients in the entertainment, sports/eSports, media, fashion, tech and consumer products industries. Mike focuses his practice at the intersection of corporate, commercial, entertainment, tax and intellectual property law, advising clients on complex transactions including mergers & acquisitions, capital raising, strategic partnerships, joint ventures, branding and endorsements, media and content distribution, and athlete and talent deals. Mike takes a business-oriented approach to deal-making to help get his clients the results they desire as quickly and efficiently as possible, while also ensuring that they are protected in the transactions and deals they close.

Mike represents public and private companies on buyside and sellside engagements, including among others, mergers, leveraged transactions, auction processes, strategic roll-ups, dispositions, acquisition-hires, equity syndications and dividend recaps. Mike advises clients on all aspects of the M&A process, including pre-transaction tax planning and deal structuring, and works closely with investment bankers and financial advisors throughout the deal process on confidential information memorandum, valuations and quality of earnings reports, and on economic deal structuring, including the negotiation of complex earnouts and rollovers. Mike negotiates complex merger agreements, equity purchase agreements and assets purchase and sale agreements. In addition, he advises on governance, including shareholder agreements and limited liability and partnership agreements.
