Vivien (Yun) Bai

Vivien Bai’s practice focuses on the representation of special purpose acquisition corporations (SPACs), emerging growth companies and investment banks in connection with public offerings of securities, including initial public offerings, follow-on offerings, ATM offering, registered direct offerings, shelf takedowns as well as PIPE, and mergers and acquisitions, including business combinations with SPAC. She assists clients with registration statements, reporting obligations under the Securities Exchange Act of 1934, corporate governance issues, and compliance with the requirements of various exchanges, including the NASDAQ and NYSE. In addition, she has represented venture capital funds and early-stage technology companies in venture capital investments.

Admitted in New York State and China, Vivien has extensive experience with cross-border transactions involving China-based companies, other Asian companies and multinational corporations doing business in China, as well as vast experience in alternative dispute resolution in China.
