Overview
Joan Guilfoyle is a securities lawyer with extensive experience representing public companies in connection with complex securities, corporate and regulatory matters. She regularly handles initial public offerings, SPAC offerings and business combinations, secondary stock and debt offerings and private placements, mergers and acquisitions (both buy and sell side) and ongoing SEC and national securities exchange reporting requirements. She also advises boards of directors in connection with corporate governance matters, compliance issues, proxy contests and stockholder proposals.
In addition to her practice, Joan has authored numerous articles published in leading publications, such as Bloomberg, regarding key securities law regulations and proposed rulemakings.
