Kenneth Adler specializes in complex global and domestic outsourcing and technology transactions. With over 30 years of experience, his practice includes drafting and negotiating all types of outsourcing and technology agreements, including business process and information technology outsourcings. He has significant experience addressing the creation of, and strategies relating to, artificial intelligence (AI) and automation technologies, cloud computing, multi-sourced environments, as well as renegotiation and termination of existing outsourcing and IT related agreements.

Kenneth regularly assists clients with respect to outsourcing strategies, including to near-shore and off-shore destinations, and emerging outsourcing locales. His practice also includes advising clients on data security and privacy matters, and all facets of technology transactions and sourcing, including with respect to AI, automation, emerging and information technologies, e-commerce, telecommunications and computer law, and on related intellectual property, privacy and data security issues.
Kenneth represents clients across all industry sectors, including in the health care, financial, insurance, retail, consumer products and technology industries in large-scale, complex outsourcing and technology sourcing, licensing and system development and integration agreements. He has completed numerous BPO and ITO managed services transactions, including outsourcings related to infrastructure (including data center, desktop, help desk, telecommunications and networks), applications development and maintenance, call center, hosting, co-location, claims processing, securities and banking back-office functions, human resources, finance and accounting, logistics, real estate, facilities management, and anything as a service (XaaS).
- Representation of Northwell Health in connection with outsourcing of the entire revenue cycle management function, valued at over $1 billion.
- Representation of three hospital systems in connection with disengagement from a legacy ITO transaction, and renegotiation of separate agreements for each hospital system for IT infrastructure and related services. Included separation from entity created for joint purchasing for community hospitals, due diligence and negotiations of new agreements regarding legacy software, infrastructure and services agreements to effect disengagement.
- Representation of Point32Health, the combined entity of Harvard Pilgrim Health Care and Tufts Health Plan, in connection with a renegotiation and extension of a 20+ year legal ITO and BPO transaction.
- Representation of Northwell Health in connection with the renegotiation of outsourcing of IT services system-wide.
- Representation of a large hospital system in connection with EHR licensing and development, including a joint venture for development of next generation EHR systems for clinicians.
- Representation of a large hospital system in connection with agreements for provision of IT services to unaffiliated community hospitals.
- Representation of a large hospital system in connection with an IT implementation and services agreement related to portfolio companies of venture investments.
- Representation of a large hospital system in connection with the negotiation of IT infrastructure and IT operations services outsourcings.
- Representation of a large hospital system in connection with licensing and implementation of a system-side radiology imaging system to replace three legacy systems.
- Representation of a health care provider in connection with a personnel management system development and implementation, and software audit dispute with several large legacy software suppliers.
- Representation of Horizon Blue Cross Blue Shield of New Jersey in connection with an outsourcing of technology and business process services for its claims processing operations.
